Terms of service
These terms govern consulting services provided by Rivett ("Rivett", "we"), operated by Fred Style, Cape Town, South Africa. By accepting a proposal, paying an invoice, or instructing work to begin, you ("the Client") agree to these terms. A signed proposal or statement of work prevails over these terms where they conflict.
1 · Services & scope
Services (diagnostics, project sprints, and retainers — see pricing) are defined in a written proposal covering deliverables, timeline, and fees. Work outside the agreed scope is quoted separately before it begins.
2 · Fees, invoicing & payment
Fees are quoted in ZAR (or USD by agreement) and exclude VAT where applicable and third-party costs such as ad spend and software licences. Invoices are issued electronically and payable within 7 days via the payment methods stated on the invoice (card or EFT, processed by Paystack). Retainers are invoiced monthly in advance. Overdue amounts may accrue interest at 2% per month, and we may pause work on overdue accounts.
3 · Client responsibilities
The Client provides timely access to the accounts, systems, data, and people reasonably required. Timelines depend on that access; delays caused by the Client extend timelines accordingly.
4 · Intellectual property
On payment in full, deliverables created specifically for the Client transfer to the Client. Rivett retains ownership of its pre-existing tools, frameworks, templates, and methods, and grants the Client a perpetual licence to use them within the deliverables. Either party may not use the other's trademarks without consent; we may reference the engagement in anonymised case-study form unless agreed otherwise.
5 · Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the engagement. This survives the end of the engagement. Credentials are handled least-privilege and revoked at engagement end.
6 · Cancellation & refunds
Per the refund & cancellation policy, which forms part of these terms.
7 · No guarantee of results
We bring senior judgment and diligent execution. Marketing and revenue outcomes depend on factors outside any consultant's control, so specific results are not guaranteed unless expressly stated in a proposal.
8 · Liability
To the maximum extent permitted by law, Rivett's total liability under an engagement is capped at the fees paid by the Client for that engagement in the preceding 3 months, and neither party is liable for indirect or consequential loss. Nothing in these terms limits liability that cannot lawfully be limited.
9 · Governing law
These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of its courts.
